TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: **No Liability for Damages:** In no event shall Earnings Call Analyzer, Lisa Tamati Enterprises, its owners, operators, directors, employees, agents, or affiliates be liable for: • Any direct, indirect, incidental, special, consequential, or punitive damages • Any loss of profits, revenue, data, or business opportunities • Any loss of investment capital or investment returns • Any damages arising from reliance on the analysis provided • Any damages arising from errors, omissions, or inaccuracies • Any damages arising from service interruption or unavailability • Any damages arising from unauthorized access to your account **Maximum Liability Cap:** Our total aggregate liability for any and all claims arising from or related to your use of the service shall not exceed the GREATER of: • One Hundred New Zealand Dollars (NZD $100), OR • The total fees paid by you in the twelve (12) months preceding the claim **Basis of the Bargain:** You acknowledge that we have set our prices and entered into these Terms in reliance upon the limitations of liability set forth herein, which allocate risk between us and form an essential basis of the bargain between us. This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

**You Agree to Indemnify and Hold Harmless:** You agree to indemnify, defend, and hold harmless Earnings Call Analyzer, Lisa Tamati Enterprises, and its owners, operators, directors, officers, employees, agents, licensors, suppliers, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorney's fees) arising from: • Your use of and access to the Service • Your violation of these Terms of Service • Your violation of any third-party right, including intellectual property rights • Any investment decisions you make • Any claim that your use of the Service caused damage to a third party • Any content you submit or transmit through the Service • Your violation of any applicable law, rule, or regulation This indemnification obligation will survive the termination of these Terms and your use of the Service. **Defense and Settlement:** We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. **Current Pricing:** • Pro Plan: $29 USD per month • Includes: 100 analyses per month • Billing: Monthly, in advance • Payment: Via Stripe (credit/debit card) **Free Trial:** • New users receive 5 free analyses • No credit card required for free trial • Free analyses do not roll over **Subscription Details:** • Subscriptions renew automatically each month • You will be charged on the same date each month • Analysis count resets on your billing date • Unused analyses do NOT roll over to the next month **Cancellation:** • You may cancel your subscription at any time • Cancel via your Account page or by contacting support • Cancellation takes effect at the end of your current billing period • You retain access until your current period ends **NO REFUNDS:** All fees are non-refundable. We do not provide refunds or credits for: • Partial months of service • Unused analyses • Downgrade of service • Periods of non-use **Price Changes:** We reserve the right to modify pricing at any time. Price changes will be communicated via email at least 30 days in advance. Continued use after price changes constitutes acceptance. **Payment Failures:** If payment fails, we may suspend access until payment is received. Repeated failures may result in account termination.

**You Agree NOT to Use the Service to:** **Prohibited Content:** • Submit false, misleading, or fraudulent transcripts • Attempt to manipulate markets or securities • Engage in or promote illegal activities • Infringe on intellectual property rights • Submit content that is defamatory, obscene, or harmful **Prohibited Activities:** • Attempt to gain unauthorized access to our systems • Use automated tools, bots, or scrapers without permission • Interfere with or disrupt the service or servers • Circumvent any access restrictions or usage limits • Reverse engineer, decompile, or disassemble the service • Resell, redistribute, or commercially exploit the service • Share your account credentials with others • Create multiple accounts to circumvent limits **Compliance:** • You must comply with all applicable laws and regulations • You must not use the service if prohibited by law in your jurisdiction • You are responsible for ensuring your use complies with local laws **Consequences:** Violation of this Acceptable Use Policy may result in: • Warning or temporary suspension • Permanent account termination • Reporting to appropriate authorities • Legal action to recover damages We reserve the right to investigate violations and take appropriate action at our sole discretion.

**Our Intellectual Property:** The Service, including its original content, features, functionality, design, and branding, is owned by Lisa Tamati Enterprises and is protected by international copyright, trademark, and other intellectual property laws. • "Earnings Call Analyzer" and "EarningsAnalyzer" are trademarks • You may not use our trademarks without written permission • The service design and user interface are proprietary **Your Content:** • You retain ownership of transcripts you submit • By submitting content, you grant us a limited license to process it • This license terminates when processing is complete • We do not retain or store your transcripts **AI-Generated Analysis:** • Analysis generated for you is provided for your personal use • You may save, print, and share analysis for non-commercial purposes • You may not resell or commercially redistribute analysis • We make no claim of ownership over AI-generated content **Feedback:** If you provide feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, royalty-free license to use them without compensation or attribution.

**Service Availability:** • We strive for high availability but do not guarantee uptime • The service is provided "AS IS" and "AS AVAILABLE" • We may experience downtime for maintenance or updates • We are not liable for any service interruptions **Modifications to Service:** We reserve the right to: • Modify or discontinue any feature at any time • Change the number of analyses included in subscriptions • Update the AI model or analysis methodology • Add, remove, or modify functionality Material changes will be communicated via email or website notice. **Account Termination:** We may suspend or terminate your account if: • You violate these Terms of Service • You engage in fraudulent activity • Your payment method fails repeatedly • Required by law or legal process You may terminate your account at any time by contacting support. **Effect of Termination:** Upon termination: • Your access to the service will cease • Your data may be deleted per our Privacy Policy • Provisions that should survive termination will remain in effect • No refunds will be provided

They should not be relied upon as predictions of future performance. **THIRD-PARTY SERVICES:** We are not responsible for the availability, accuracy, or content of third-party services (Stripe, Anthropic, etc.). Your use of third-party services is subject to their respective terms.

**Governing Law:** These Terms of Service and any dispute arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of NEW ZEALAND, without regard to its conflict of law provisions. **Jurisdiction:** You agree to submit to the exclusive jurisdiction of the courts located in New Zealand for resolution of any disputes. **Dispute Resolution:** Before initiating any legal proceeding, you agree to first contact us at support@lisatamati.com to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days. **Class Action Waiver:** TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. **Time Limitation:** Any claim arising from these Terms or the Service must be brought within ONE (1) YEAR of when the claim arose, or such claim is permanently barred. **Severability:** If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. **Entire Agreement:** These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and us regarding the Service.

**Service Availability:** The Service is operated from New Zealand. If you access the Service from outside New Zealand, you do so at your own risk and are responsible for compliance with local laws. **Currency:** All prices are in US Dollars (USD) unless otherwise specified. Your payment provider may charge additional fees for currency conversion. **Export Controls:** You may not use or export the Service in violation of any applicable export laws or regulations. **Language:** These Terms are provided in English. In case of any translation, the English version shall prevail. **Regional Restrictions:** We reserve the right to limit the availability of the Service to any person, geographic area, or jurisdiction at any time. **Local Laws:** You are solely responsible for ensuring your use of the Service complies with all applicable local laws, including securities laws, financial regulations, and data protection laws in your jurisdiction.
